Course Description:

The course will focus on all legal issues faced by investment banks. In the first part, the regulatory aspects of investment banking will be explored. The second part of the course will focus on transactions in which investment banks are involved. The applicable transactions mechanics, the legal rules as well as the relevant documents (agreements, corporate disclosure and/or capital markets disclosure) will be discussed in detail. M&A transactions, securities offerings (IPOs and secondary offerings) as well as certain aspects of takeover and merger transactions will be the main focus. Specific emphasis will be put on the perspective and role of the investment bank rather than discussing such transactions generally. The course may include (depending on available time) one or several practical exercises (mock contract negotiations).
