Law of Corporate Finance

 

Course Description:

This course will discuss the various types of financing available to business corporations and the legal issues affecting each. Forms of financing discussed will include issuance of equity and debt, commercial loans and bonds, instruments of mezzanine financing, intra-group cash management, as well as the use of specialized legal structures and instruments such as derivatives to allocate assets and risks. Each topic will be introduced by comparing principles and rules in Germany, the United Kingdom and the United States. Selected topics will be discussed on the basis of case studies.
