Drafting of Contracts (Advanced Level)

 

Course Description:

This course is designed to give students an insight into various types of contracts used in cross-border investments as well as hands-on experience in drafting contracts commonly used in international transactions. It will focus on the structuring of selected kinds of transactions, as well as the type of language commonly used in such documents and strategic drafting of key contractual clauses.

The contracts discussed will include merger and acquisition agreements (and related documentation), financing arrangements, sale and purchase agreements, arbitration agreements and clauses, and specific clauses used in most international contracts such as choice of law and forum clauses, representations and warranties, clauses regarding the creation of collateral and specific form requirements in selected jurisdictions. Students will be invited to actively participate in exercises and contribute to the topics discussed.
